Security management software company NetIQ on Tuesday announced that it had agreed to acquire Auckland, New Zealand-based Marshal Software for $23 million in cash.

Marshal Software provides e-mail scanning, Web filtering and Internet content management software to 3,500 customers in 30 countries. The acquisition will add content security and spam-blocking capabilities to NetIQ's migration, security administration and performance management products, the company said.

Marshal Software's products include MailMarshal, e-mail scanning software that blocks spam and viruses and WebMarshal, an Internet access control and monitoring application.

The acquisition is expected to be completed by the end of this year. The sales and partner networks of the two companies will be integrated, and NetIQ will retain Marshal Software's office and personnel based in Auckland, NetIQ said.

NetIQ expects the transaction to add revenue of $2 million in its third fiscal quarter, and to be "modestly" positive in terms of profit in the fourth quarter, the company said.

In related news, NetIQ said it had completed its acquisition of Pentasafe Security Technologies, announced on Oct. 1.
